Terms of Service: Agenda Scout MX

Users are informed that the following Terms and Conditions apply to the simple use of or access to any of the pages, web and mobile applications, software, and applications in general that integrate the Portal at https://agendascout.com (hereinafter and collectively, the "Portal"). By using the Portal, it is understood that you accept and agree to be bound by them. If you do not agree with these Terms and Conditions, you must refrain from accessing or using the Portal.
Agenda Scout and/or its subsidiaries, controllers, related parties, and affiliates (hereinafter collectively, the "Company") reserve the right to discretely modify the content of the Portal at any time, without prior notice.
The User, understood as any person who accesses the Portal through computer equipment and/or any communication equipment or device (hereinafter the "User"), agrees not to use devices, software, or any other means intended to interfere with the activities, operations, databases, or information contained in the Portal.
1. Use and Restrictions
Access to or use of the Portal expresses the full and unreserved adherence of the User to these Terms and Conditions. Through the Portal, the User will utilize various services and contents (the "Services and Content") made available by the Company. The Company shall have the right to deny, restrict, or condition the User's access to the Portal, in whole or in part, at its sole discretion, and to modify the Services and Content at any time without prior notice.
The User recognizes that not all Services and Content are available in all geographic areas and that some may only be used after recruitment, activation, or prior registration. The Company does not guarantee the availability and continuity of the operation of the Portal or its Services and Content.
2. Intellectual Property
The intellectual and industrial property rights regarding the Services and Content, distinctive signs, and domains of the Portal, as well as the rights of use and exploitation thereof, are the exclusive property of the Company. The User does not acquire any intellectual property rights by the simple use of the Portal.
3. Third-Party Services and Artificial Intelligence
3.1. Messaging Services (WhatsApp & SMS)
The Company acts as a communication orchestrator using the WhatsApp Business API (Meta) and Twilio. The User agrees that:
Recipient Consent: The User guarantees they have obtained prior, express, and informed consent from their end customers to send messages, reminders, and notifications. The User is solely responsible for complying with applicable data protection laws regarding their contacts.
Acceptable Use: The use of the Portal for sending unsolicited content (Spam), fraudulent, harassing, illegal messages, or messages that violate the Acceptable Use Policies of Meta and Twilio is strictly prohibited.
Service Suspension: The Company reserves the right to suspend or cancel access to Messaging Services if a high rate of blocks or reports by end recipients is detected.
3.2. AI Processing and LLMs
The Portal integrates Large Language Models (LLMs) provided by third parties, such as OpenAI and Anthropic, to facilitate intelligent scheduling and automated responses.
Nature of AI: The User acknowledges that responses and content generated by AI are automated and may contain inaccuracies or technical "hallucinations."
User Responsibility: It is the User's exclusive responsibility to supervise and validate AI-generated information before professional use.
Limitation of Liability: Neither the Company nor its AI providers shall be liable for any direct or indirect damages arising from the use of or reliance on automatically generated content.
3.3. Third-Party Infrastructure Availability
The User understands that the provision of Services depends on the availability of external platforms (Meta, Twilio, OpenAI, Anthropic, and hosting providers). The Company shall not be responsible for interruptions, delays, or failures in message delivery derived from technical outages or policy changes of these external providers.
4. Quality of Services and Warranties
Neither the Company nor its providers or business partners shall be liable for any damage suffered by the User as a result of inaccuracies, queries, or typographical errors. The Portal is provided "as is" and "as available." The User accepts that the use of the Portal is at their own risk.
5. Subscriptions and Cancellations
Users may cancel the Services at any time at their sole discretion. The User acknowledges that charges made to debit or credit cards are non-refundable and are subject to the Terms and Conditions of the payment service providers (e.g., Stripe).
6. Confidentiality
The Company is obliged to keep confidential the information received from the User that has such character according to the legal provisions applicable in the United Mexican States.
7. Cookies and Web Beacons
The User agrees to receive files transmitted by the Company's servers. "Cookies" and "Web Beacons" are used to track user movement and improve the experience. Users can change their browser settings to reject cookies, though this may affect Portal functionality.
8. Accounts and Minors
By creating an account, the User declares under oath that they are at least 18 years old or of legal majority in their jurisdiction. The User is responsible for all activity developed under their account.
9. Modifications to Terms and Conditions
The Company shall have the right to modify these Terms and Conditions at any time without prior notice. Consequently, the User must read the Terms and Conditions carefully each time they intend to use the Portal.
